Before asking, "How do we get listed?", organisations should first ask, "Are we truly IPO-ready?"


I met with a business entity to discuss strategies for business expansion. The original discussion focused on key areas that form the foundation of sustainable growth (see slide)

As the discussion progressed, the conversation naturally shifted towards IPO readiness and the aspiration of becoming a listed company. (I later reminded them, without early business strategies of sustainable growth which is the original topic of presentation, don't run too fast towards IPO)

It was encouraging to see such ambition and enthusiasm. However, I shared the view that we should take it one step at a time.

Many organisations perceive an IPO primarily as a financial exercise or a regulatory requirement. In reality, an IPO whether through the LEAP, ACE, or Main Market is a business transformation journey that requires much more than preparing a prospectus.

A successful listing requires strong foundations, including:

• A clear business strategy and growth roadmap
• Strong corporate governance structures
• Effective enterprise risk management
• Robust internal controls and compliance frameworks
• Reliable financial reporting systems
• Legal and regulatory readiness
• Capable leadership and organisational capability

Equally important is the establishment of an internal IPO steering committee to coordinate the various workstreams and engage effectively with the Principal Adviser, legal advisers, reporting accountants, auditors, and other professional advisers.

A prospectus is not merely a document describing financial performance. It should demonstrate the company's strategic direction, business model, governance maturity, operational capabilities, key risks, and long-term value proposition. Without the necessary foundations, the prospectus may not fully reflect the organisation's readiness for the public market.

Today's discussion reinforced an important lesson:

An IPO is not simply about listing shares. It is about building an organisation that earns confidence from investors, regulators, employees, and all stakeholders.

The journey to the market begins long before the listing day, it begins with building the right.
